registered office in Via Trinchese 31 / a 73100 Lecce, VAT number 05095100755, email address info@yield.social and PEC

Any comments, suggestions or complaints can be submitted via the website's online contact form or
by contacting the owner of the site at the email addresses indicated above.
The following General Conditions of use and Terms of Service define the conditions of use of the services offered by YIELD e
available at www.yield.social.

General Conditions of Use and Terms of Service

Definitions

"Application", "Platform", "Site": the web or mobile infrastructure that allows YIELD to provide its services such as,

for example, the website www.yield.social and / or any other internet domain that the Company may add and on which it is
the proposed service is available.     

"Brief": specifications regarding the Influence Campaign. The Brief is defined between YIELD and the Brand / Agency and defines / explains
objectives, means, methods and remuneration of the Influence Campaign. The details and information are provided in the Brief
conditions of collaboration. YIELD subsequently elaborates a Brief to be provided to the Influencers who will be involved for the
Influence Campaign.

"User": a natural or legal person registered on YIELD as an Influencer, representative of a Company or an Agency who
operates on behalf of a Brand. The expression "User" therefore refers to the person who operates on the Platform using
their credentials, regardless of whether it is a person who impersonates a Brand / Agency or an Influencer.

"Rating", "Influence Rating": is a value (maximum 5 stars) associated with each Influencer and generated by Yield through
the proprietary algorithm called Scorpion ©.

"Brand", "Client" or "Advertiser": a Company that offers a marketing campaign on behalf of its own brand, of its
services or its products using the YIELD Team and the Influencers selected and registered on its Platform.

"Agency" or "Client": a Company or a legal entity (advertising, communication, public relations agency, etc.) that
offers, having the title, an Influence Campaign on behalf of its customers (Brand), making use of the YIELD Team and

Influencers selected and registered on its Platform.     

“Campaign”, “Influence Campaign”: any communication campaign proposed to Influencers by the Yield Team on the
based on the rules defined and agreed by / with the Brand / Agency.

"Influencer": a natural or legal person (if a company) active on social networks and registered with the service, who collaborates with Yield to
implement influence campaign through the YIELD platform.

"Social Network": social network (Facebook, Twitter, YouTube, Instagram, Snapchat, Tik Tok etc.) on which Influencers have a
account and have the ability to promote Influence Campaigns.

"Points": The score accumulated / awarded to Influencers through the YIELD "Yield Success System" Program.

"Remuneration": the credit that the Influencer obtains in relation to the activities carried out in accordance with YIELD. That credit can be
provided in the form of Points (Yield Success System Program), money or products.     

“The Parties”: Yield and the Brand / Agency

"Account": Set of personal data of a User associated with the use of the services offered by Yield through the Platform.
"Service": services and features offered by YIELD.
"TOS": Terms of Service, ie this document and its attachments.

Introduction and acceptance of the Terms of Service

We recommend that you read the TOS carefully before using the Platform. The TOS, together with the Privacy Policy,
constitute the contract ("Contract") that governs the relationships between Users and YIELD. The TOS are, in particular, conditions
general contract pursuant to and by effect of art. 1341 of the Italian Civil Code and are therefore legally binding from
the moment of the conclusion of the Contract itself, between the User (therefore the Brand / Agency) and Yield, having as object the access and
the use of the Platform.

This document (in addition to the Privacy Policy) is unconditionally and irrevocably concluded:

(i) with reference to the services of the Platform not reserved for registered Users, when the User accesses the
Platform (implicit acceptance);
(ii) with reference to the Platform services reserved for registered Users, when the User accepts them during the
registration (explicit acceptance).     

In the event that the User does not want to accept, in whole or in part, these TOS, he is requested to exit the Platform or,
in any case, to stop using it, or even to stop recording. In case the User wants to use specific
services provided by YIELD may apply, in addition to these TOS, additional particular conditions of service where
specifically indicated. The Platform may provide for the provision of services provided by YIELD partners, in which case it will be
the acceptance of the terms of service of the Yield partners by the Users is necessary.

Article 1: Purpose of the Services

Yield is a platform that aims to involve Brands / Agencies and Influencers of all sizes in the
creation of social campaigns. YIELD offers Influencers the opportunity to monetize the audience of their social networks
collaborating with Brands and Agencies through the Yield Network Management platform.

In exchange for publishing content on one (or more) social networks managed by the Influencer, the latter gets a sum
of money or reward points. It is also possible to receive Products to be tested for free.

 
 
As a User, the Brand / Agency can be contacted or contact the YIELD Team to propose an Influence Campaign.
These promotional activities will be governed by specific additional documents (Brief) through which YIELD and Brand / Agency
they will agree on the times, conditions, objectives and remuneration of the Influence Campaigns. The Brief is to be considered ANNEX to these
TOS.
 
 
 
Article 2: Access to the service     

Registration for the service is carried out during the creation of the User Account on the platform. During the registration phase, Influencers are asked to provide a series of personal data, including any interests, in order to facilitate the selection of the Yield Team for Influence Campaigns. You are also asked to indicate your social network profiles by providing links and / or IDs.

The acceptance of the conditions of use of the service is submitted to the User for validation at the time of account creation. The Profile created by the Influencer is therefore verified by Yield which reserves the right to deny access to the User or to limit it. 

 

 

 

In the event that the Influencer participates in a Campaign that provides for the testing of Products and / or services provided directly to the Influencer himself, the Parties agree that this actually represents a remuneration in kind. 

 

For each collaboration with Influencers, therefore, Yield proposes the remuneration plan indicating its consistency (PRODUCT ONLY or Money and Products).

The service is offered 24 hours a day, 7 days a week, with the exception of random downtime periods required for service maintenance. 

Article 3: Description of the service

Article 3.1: Content of the campaign

Influencers receive, from Yield, collaboration proposals to participate in Campaigns based on their profile, interests, geographical areas and specific requirements provided by the Brand / Agency. Campaigns include information such as: a description, key information to share with the public (URL, keywords, images, etc.) defined by the Brand / Agency, proposed remuneration and social network to be used. The Campaigns may also include the use of Products and / or services provided directly by the Brand / Agency. There is no direct interaction between Brand / Agency and Influencer. Yield, both in the planning and execution phase, will maintain contact with both the Brand / Agency and the Influencer. If this management of communications is in any way bypassed without Yield's authorization, Yield itself reserves the right to suspend the Influencer's account.

Article 3.2: Promotional content of Influencer posts

Influencers can only accept and consequently participate in campaigns for which they have been selected and contacted by YIELD. Once the Parties have defined the agreement for the specific Campaign, the Influencer will be responsible for publishing the contents of the Campaign on their Social Networks following the instructions that will be provided by Yield. The contents proposed by the Influencer must be "public", ie visible to anyone, even to non-followers of the Social Networks used to convey the Campaign.

A promotional post published on Social Networks must be clearly identified as an advertisement under the laws applicable to Influencers in their country of residence. The post, if required, must indicate the natural or legal person for whom the Campaign was created. 

When subscribing, influencers undertake to abide by the rules of good conduct provided by Yield, which prohibits any fraud scheme that could allow them to earn points or money fraudulently. If YIELD becomes aware of suspicious activity, Influencers run the risk of having part or all of their remuneration canceled and removed from the Platform.

A promotional post cannot be a deceptive or disguised advertisement, and the content of the post cannot harm the Brand / Agency or Yield and must adhere to the campaign for which the Influencers were hired. A promotional post must not encourage actions that have no connection with the Campaign for which the Influencer is operating.

As for the videos, the Brand (or the advertised Product) must be highlighted at the beginning of the video and for an adequate duration to explain the characteristics of the product and / or service covered by the Campaign. In any case, it will be necessary for the Influencer to follow the instructions received from the YIELD Team.

 
Article 3.3: End of the Campaign

A Campaign comes to an end for Influencers when: THE OBJECTIVES INDICATED IN THE BRIEF SENT BY YIELD TO THE INFLUENCERS ARE ACHIEVED AND the expiration date is reached, in the case of a Campaign created with an expiration date by the Brand / Agency, and / or when the maximum budget assigned to a Campaign is reached.

 

Article 3.4: Exclusivity

It is an explicit obligation for the Influencer to refrain from taking on direct collaboration assignments with Brand / Customer Agencies of Yield and registered on the Platform. The Influencer acknowledges and accepts this condition of exclusivity and is aware that failure to comply with this clause may result in the suspension by Yield of its User account and the consequent loss of accumulated credits.

Article 4: Payments and remuneration

Article 4.1: Influencer payment terms

If the campaign provides for a monetary compensation. For payment, the currency used is the Euro. Influencers can request THAT THEIR MONEY CONSIDERATION BE PAID. To receive it, Influencers must send their invoice / RECEIPT WITH WITHHELD OF DEPOSIT BY E-MAIL TO THE FOLLOWING ADDRESS:  SUPPORT@YIELD.SOCIAL. The invoice must comply with the legal requirements in force. Payments will be made within 30 days by bank transfer or check.

If applicable, Influencers will have to pay VAT and any tax obligations to the relevant administration.

YIELD, for influencers who do not log in to the service for more than a year, reserves the right to cancel the account. Consequently, any outstanding credits in favor of the Influencer will also be lost.

Influencers agree to keep any promotional posts generated on behalf of YIELD and participating Brands / Agencies for a minimum of 30 days.

Article 5: Obligations, responsibilities and guarantees of the Users

Article 5.1: Obligations of influencers

Article 5.1.1: Obligations of Users - Influencers

Influencers declare that they have received all the information necessary to consciously register on the platform. Business software is known to be available to influencers as they are, without any customization. Therefore, influencers must first check any technical requirements and whether the services offered by the Platform meet their needs and expectations.

Article 5.1.2: Obligations of influencers regarding the content of promotional posts

Influencers are committed to:
- Follow the instructions received from the Yield Team for the creation of promotional posts;
- Make your posts public (visible to anyone);
- Do not post online, share or communicate content that is in any way: obscene, defamatory, abusive, threatening, related to child pornography, approve a war crime or a crime against humanity, provoke terrorist acts, violate the privacy of a person and / or unlawful in any way, or of a deceptive nature or relating to a hidden promotional advertisement;
- Not to damage the Brand / Agency and the image, brands, services and products offered through collaborations with YIELD;
- Do not use the images of the Brand / Agency or of Yield and their distinctive characteristics (name, slogan, logo, image) in circumstances other than those defined by the Brand / Agency / Yield or outside the Campaign entrusted to the Influencer.

Influencers admit that they only have a temporary and limited right to use the brand during the Campaign and not a license to use the brand. The right of use ends once the Campaign has ended.

Influencers are committed not to:
- Encourage users of social networks to take any action not related to the Campaign in their promotional post;
- Increase clicks through any financial incentive or based on a false statement or request inviting users of the social network to click on a promotional post or any other action;
- Spam your social networks with repeated and identical promotional posts;
- Launch automated scripts or programs, including robotic software or any program that is prone to sending multiple requests per second to a server or complicating or hindering the operation and performance of the service or application in an untimely manner;
- Modify or create derivatives of the service;
- Create electronic links to the service or insert base or mirror schemes of some applications on other Internet-based wireless servers or devices;
- Publish online or share content or behave in a way that creates interruptions, hinders, destroys or more commonly disrupts the operation of the Service offered by Yield or allow unauthorized access to the Platform, even using computer viruses, malicious codes, or infected files;
- Proceed to the reverse engineering method to design or build a competing product or service using the same features, functions or images;
- Have fraudulent behavior trying to circumvent the normal functioning and rules of the Service proposed by Yield;
- Steal someone's identity by any means, including using their social networks;
- Replicate, copy, sell or make any commercial use (including the right to information) of the whole or part of the Service offered by Yield.

Influencers are committed to:
- Respect the privacy of individuals and the private nature of the information provided;
- Always provide accurate, real, correct data, taking care to update them as soon as necessary;

- Comply with all legal directives in force; 

- follow all Yield guidelines on content publishing (posts, reels, stories)

 

Article 5.2: Responsibility of influencers

Influencers are responsible for the use of their accounts on Social Networks and for the publication of promotional posts that are the subject of Influence Campaigns.

Any message of an offensive nature, which conveys a misogynistic, sexist, sexual, homophobic, racist, xenophobic or extolling rape message will not be eligible for the agreed remuneration. The Influencer's participation in the Campaign will then be canceled if the post is not quickly edited or deleted.

Article 5.2: Responsibility of influencers

Article 5.2.1: Responsibility of influencers towards Social Media

Influencers are responsible for the use of their accounts on Social Networks and for the publication of promotional posts that are the subject of Influence Campaigns.

Any message of an offensive nature, which conveys a misogynistic, sexist, sexual, homophobic, racist, xenophobic or extolling rape message will not be eligible for the agreed remuneration. The Influencer's participation in the Campaign will then be canceled if the post is not quickly edited or deleted.

Article 5.2.2: Influencer's responsibility regarding the publication of promotional posts

Any use of the Service or online uploading of a promotional post through social networks will be considered carried out by the Influencer even in the event of the loss of the password or password given to another person by the Influencer.

 

According to the contractual conditions accepted at the time of registration on the platform, the influencer must scrupulously comply with Yield's indications for sponsorship.

If the Influencer should have unforeseen events / impediments of force majeure and be unable to respect the agreed times for the Influence Campaign entrusted to him, he must contact the Yield Team to verify how to proceed, postponing the completion of the sponsorship. If the non-compliance, even partial, on the publication of the contents persists, Yield reserves the right to legally sue the Influencer for the damage suffered and to charge him / her any penalties in addition to those that the Brand / Agency will enforce on Yield for lack of sponsorship. 

 

 

 

 

 

 

 

 

Article 5.2.3: Liability of influencers in case of misleading and aggressive advertising  

Influencers clearly recognize that posting deceptive and / or aggressive promotional messages exposes them, personally, to sanctions by the competent authorities. The Consumer Code distinguishes between misleading and aggressive business practices.

 

Misleading commercial practices (articles 21-23 of the Consumer Code) can mislead the average consumer, distorting their decision-making process. Misleading can concern the price, the availability on the market of the product, its characteristics, the risks associated with its use. Practices that induce the consumer to neglect the normal rules of prudence or vigilance regarding the use of products that are dangerous to health and safety or that may, even indirectly, threaten the safety of children or adolescents are also considered illegal.

 

If, on the other hand, the promotional message contains harassment, coercion or other forms of undue influence, it is considered aggressive (articles 24-26 of the Consumer Code).

 

Article 5.3: Guarantees from influencers

Influencers guarantee that the content of promotional posts is, and will remain, always consistent with these legal notices and general conditions of use, terms and conditions of Yield, social networks and applicable laws and regulations. Yield opposes any remedy or action (including legal fees) by third parties following the use of the service by Influencers or Brands / companies in violation of these Legal Notices and the General Conditions of Use and any contractual document, or more broadly a violation of the law; 

 
 
 
 
Article 6: Obligations, responsibilities and guarantees of the company

Article 6.1.1. : Company Obligations on Public Monetization

 
The purpose of the Service proposed by Yield is to allow Influencers and Brands / Agencies to actively collaborate, in
efficiently and obtain mutual satisfaction from the results of the Influence Campaigns.     

Yield, if the type of Influence Campaign so provides, undertakes to agree on reasonable remuneration with the Influencers
in accordance with local laws and common sense.

Yield reserves the exclusive right regarding the selection / choice of Influencers to be used for the Influence Campaigns that the
Brand will propose. The involvement of Influencers, in fact, depends on the type of collaboration that the Brand / Agency requires e
the objectives of the Influence Campaigns for which Yield remains responsible towards the Brand / Agency.

Furthermore, the Brand / Agency understands and acknowledges the fact that mere registration on the Platform does not mean automatically
that the proposals of Promotional Campaigns will be accepted by YIELD.

Article 6.1.2: Obligations of the Company regarding the quality of the service provided

Yield is committed to offering everything necessary to provide a quality service, in accordance with the Company's best practices.
Yield will do its best to offer 24/7 access, except in any case of force majeure, system failure,
disservices of the hosting service provider or any maintenance operation essential to the running Service.

Users understand and acknowledge that software is part of a complex area in terms of technical processing and therefore
agree with any risks of imperfection or unavailability of the service.

In case of absolute necessity, Yield reserves the right to suspend the Service to proceed with a technical intervention of
maintenance or improvement and / or to ensure the proper functioning of the Service at any time and for the duration
necessary. Any interruption of the service and therefore of the Platform itself will not entitle Users to any compensation
registered (Influencers or Brands / companies that are).     

The Company may send e-mails or notifications through the platform to Users, in particular to inform them about the evolution of the
service, new campaigns and campaign statuses for influencers.

Article 6.1.3: Obligations of the Company regarding changes to the service

Yield reserves the right to revise the entire proposed Service (or any part thereof) at any time and without
forewarning. Any changes that result in the reduction of the User's rights, as part of these General Conditions
of use, will not be applied without their prior consent.

Article 6.1.4: Obligations of the Company regarding abusive or diverted services     

Yield reserves the right to establish technical limitations to limit abuse of the services offered.
Yield, in the event of suspected abuse, it will communicate to the User who undertakes to collaborate, including with the judicial authorities,
providing the information requested about the User himself and / or his promotional Posts or campaign Briefs in order to

check and even delete information that is contrary to current legislation.     

Article 6.2: Responsibility of the company

Article 6.2.1: Company's responsibility towards social networks     

The conditions for accessing, supplying and using the information and services offered by Yield are available directly
on the web pages of the Platform and also in the form of "FAQs". Yield cannot be held responsible for the contents of the
Promotional posts published by Influencers who do not respect the indications that Yield provides. Yield, in this regard, has no
direct control over the contents published by Influencers through their own Social Network channels nor has access to such profiles
social. In any case, YIELD, as provider of the coordination service of the Influence Campaign, will activate
promptly to remedy as far as it can (Article 5.2.2).

In case of technical problems, accidents or publication errors, YIELD, in collaboration with the Influencers, will do its best
to promptly resolve the problem.

Article 6.2.2: Responsibility for the shipment of products

If the Influence Campaign implies the need to have the Products supplied by the Influencer available in the Influencer

Brand / Agency, the shipping costs of these products will be borne by the Brand / Agency itself. Any storage costs, of
return, non-collection, customs, loss by the carrier appointed by the Brand / Agency and anything not foreseen
expressly by this Agreement or by the Brief, will be fully borne by the Brand / Agency. YIELD will not be in any way
responsible for the logistics chain that will involve sending the product to the Influencer.     

Article 6.2.3: Liability of Yield towards Users

Yield will not be held liable in the event that a third party uses a User's username and password for
connect to the Platform or for any modification, suspension or interruption of the Service not due to Yield itself.
The user is aware and accepts that the Platform may be temporarily suspended, for development work or
ordinary and extra-ordinary maintenance.

Force majeure: Yield cannot be held responsible for any partial or total failure to comply with its obligations in the event
force majeure, in particular any failure or blockage of telecommunications networks, uprisings, civil wars, wars,
military operations, states of emergency, fires, lightning, floods, explosions, strikes, storms etc. etc ..
The technical problems of the hosting service providers used by Yield are also considered cause of force majeure as yes
it is an unforeseeable or unavoidable event and beyond the control of Yield itself.

Article 6.3: Company guarantees

Yield makes no express or implied warranties as to the use of the Service, in particular its availability. The User is
informed that Yield does not guarantee that its Service will be free from any faults or irregularities, nor that such technical problems
will be resolved. The Company further does not warrant that the use of its Services will be uninterrupted or faulty or compatible with
any mobile or fixed device or a particular configuration other than the standard ones normally recommended by
Yield.     

Article 7: Suspension and termination of the service

Article 7.1: Initiative for Users registered as Brands / Agencies

Brands / Agencies can delete their account at any time by contacting the Yield Team via email by writing to
info@yield.social. The cancellation of the account is final and without delay and the removal of personal data takes place within a
maximum of 60 days from the cancellation of the Service.

Article 7.2: Suspension of Influence Campaigns by the Brand / Agency     

In case of suspension or early termination of the contract by the Brand / Agency, with consequent early termination
of the Influence Campaign, in the absence of a just cause, the Brand / Agency will recognize to Yield what has been agreed within
of the Brief or the remuneration agreed between Yield and the Brand / Agency.

Article 7.3: Initiatives to protect the company     

YIELD reserves the right to suspend access to the Service or to close the User account and / or to prohibit access to the Service
if the terms of the contract are not respected, in particular for the obligations of Users registered as Brands / Agencies e

attempts at suspected or confirmed fraud.     

Without prejudice to the right to compensation for any damage suffered, YIELD may declare, at any time, the contract
resolved pursuant to and for the purposes of article 1456 of the Civil Code with written communication to be sent by post
Certified Electronics in cases of non-fulfillment by the Customer of the obligations contained in this Agreement. Users
will be notified via email (address used for registration on the Platform).

Article 8: Duration and Withdrawal
8.1 Duration
This Agreement will take effect from the date of signing it, or, in the case of online acceptance, from the date
indicated on the confirmation of Activation of the service and will be considered valid and effective for the following 12 months. Upon expiry the
this Agreement is automatically renewed from year to year. It is the faculty of the User registered as a "Brand / Agency"
unsubscribe and cancel the account by following the procedures provided on the platform or

by contacting the YIELD Team directly. Before activating the user account cancellation procedure, the Brand / Agency
must first verify that there are no Influenza Campaigns in place. In this case the cancellation request will be
taking charge only at the end of the Influence Campaign and after the balance of the expected fees.     

8.2 WITHDRAWAL DUE TO TECHNICAL OPERATIONAL IMPOSSIBILITY

Without prejudice to the provisions of point 8.1 above, YIELD may exercise the right to withdraw from the Contract if they occur
technical-operational impossibility of carrying out any of the services agreed and / or requested by the Brand / Influencer.
In this case, the Customer will only be entitled to reimbursement of any amount already paid for the non-service
performed.

Article 9: Intellectual and industrial property rights

Article 9.1: Protection of trademarks and use of the "YIELD" brand

No User has the right to use the “YIELD” brand for purposes other than those expressly indicated herein
document, any behavior that damages the image, profit or the Company itself, will result in suspension
immediate notification of the User account and, depending on the case, reporting to the competent authorities. Generally any
conduct that does not comply with these general conditions or any unlawful conduct will be subject to
reporting to the competent authorities. The “YIELD” brand and the “yield.social” domain name are also owned
exclusive of DMGROUP SRL.

Users registered as Brands / Agencies must NOT:
a) reverse engineer, decompile, disassemble, modify or create derivative works based on "YIELD" or on
any portion of it;
b) bypass the computer systems used by Yield or its licensors to protect the content accessible through it;
c) use any robot, spider, site search / retrieval application, or any other device, process or means
automatic to access, retrieve, scrap or index any portion of the Platform or its
contents;
d) rent, license or sub-license your User account;
e) defame, offend, harass, engage in threatening practices, threaten or otherwise violate rights (such as the right
privacy and advertising) of others;
f) disseminate or publish illegal, obscene, illegitimate, defamatory or inappropriate content;
g) use Yield in any other improper way that violates these TOS;
Article 9.2: Content Protection and Copyright     

All data contained within the Platform such as, without limitations, software, corporate identities, texts, audio documents,
videos, photographs, logos, icons and, any design that appears or is available, is protected by copyright laws (Articles 2575-

2583, cc and L. n. 633 of 22.04.1941).     

Influencers acknowledge and forbid, without limitation, to use, reproduce, publish, represent, disseminate,
adapt, translate, use to create by-products or take the content of the Platform for a use other than that

defined in the current TOS unless explicitly and in writing by YIELD.     

All trademarks, logos, texts, videos, digital products and any creative processing belong to their respective owners and to
respective companies. Each User is responsible for the content they publish. Brands also actually contained on Yield or otherwise
referred to therein, are protected by the law on registered trademarks, unfair competition and other applicable laws or by
any commercial agreements and, therefore, cannot be copied or imitated. Therefore, it is expressly forbidden to use it not
authorized of the same. All rights not expressly granted are reserved.

Users undertake not to access the Service by means other than the interface provided by the Company, unless authorized
explicit and written by Yield.

Article 10: Personal data, Confidentiality and Confidentiality

The personal information provided by Users (both Brands / Agencies and Influencers) at the time of registration or during the
signing of collaboration agreements, will be treated as described in the Privacy Policy [Insert hyperlink].     

The Parties undertake to keep the Brief, information, data, technical and character documentation confidential
commercial, organizational, production, managerial or whatever else is inherent to both parties and to use them only
and exclusively for the correct fulfillment of the services referred to in this Agreement, to supervise the activity of the respective
personal, so that it maintains the same commitment of confidentiality.

The Parties therefore undertake to maintain and ensure that their employees and collaborators maintain absolute confidentiality
on the data and information that they might become aware of in the execution of the Contract.

Article 11: Applicable rights - Disputes

Failure by the Owner to exercise legal rights or claims deriving from these Terms does not constitute a waiver of the
themselves. No waiver can be considered final in relation to a specific right or any other right.

These Terms of Service and all disputes regarding the execution, interpretation and validity of this Agreement
are subject to the law, the jurisdiction of the State and the exclusive jurisdiction of the court of the place where the
Holder. Any dispute arising from this Agreement will be solely and indisputably of the Court of Lecce.

Article 12: Various provisions     

The Company may revise these legal notices and the general conditions of use at any time.
If so, Yield will notify Users by posting the most recent version of these Terms of Service and will collect
adherence to their access on the Platform. Users will have the option to accept or terminate their contract. If one or more
terms of the legal notes and general conditions of use are declared invalid, the other terms will keep theirs
effectiveness and scope.

of the service), 8 (Article 8: Duration and Withdrawal), 9 (Intellectual and industrial property rights), 11 (Applicable rights -

Any comments, suggestions or complaints can be submitted via the website's online contact form or
by contacting the owner of the site at the email addresses indicated above.
The following General Conditions of use and Terms of Service define the conditions of use of the services offered by YIELD e
available at www.yield.social.

General Conditions of Use and Terms of Service

Definitions

"Application", "Platform", "Site": the web or mobile infrastructure that allows YIELD to provide its services such as,

for example, the website www.yield.social and / or any other internet domain that the Company may add and on which it is
the proposed service is available.     

"Brief": specifications provided by Yield to the Influencer with which the objectives that the Brand / Agency aims to achieve are explained
reach through the campaign of influence. The details and conditions of the collaboration are also provided in the brief.

"User": a natural or legal person registered on YIELD as an Influencer, brand representative or representative of
an agency that works on behalf of a Brand. With the expression "User", therefore, we refer to the person who operates in
Platform using your own credentials, regardless of whether it is a person who impersonates a Brand / Agency or a
Influencer.

"Rating", "Influence Rating": is a value (maximum 5 stars) associated with each Influencer and generated by Yield through
the proprietary algorithm called Scorpion ©.

"Brand", "Company" or "Advertiser": a company that offers a marketing campaign on behalf of its brand, its
services or its products through the YIELD platform.

“Agency”: a company (advertising, communication, public relations agency, etc.) that offers a marketing campaign for
account of its customers (Brand), through the YIELD platform.

“Campaign”, “Influence Campaign”: any communication campaign proposed to Influencers by the Yield Team on the
based on the rules defined by the Brand / Agency.     

"Influencer": a natural or legal person (if a company) active on social networks and registered with the service, who collaborates with Yield to
implement influence campaign through the YIELD platform.

"Social Network": social network (Facebook, Twitter, YouTube, Instagram, Snapchat, Tik Tok etc.) on which Influencers have a
accounts and have the ability to promote influence campaigns.

"Points": The score accumulated / recognized through the YIELD "Yield Success System" Program.
"Remuneration": the credit that the Influencer obtains in relation to the activities carried out in accordance with YIELD. That credit can be

provided in the form of Points (Yield Success System Program), money or products.
“The Parties”: Yield and the Influencer
"Account": Set of personal data of a User associated with the use of the services offered by Yield through the Platform.
"Service": services and features offered by YIELD.

Introduction and acceptance of the Terms of Service

We recommend that you read the TOS carefully before using the Platform. The TOS together with the Privacy Policy,
constitute the contract ("Contract") that governs the relationships between Users and YIELD. The TOS are, in particular, conditions
general contract pursuant to and by effect of art. 1341 of the Italian Civil Code and are therefore legally binding from
moment of the conclusion of the Contract itself, between the User and the Company, concerning the access and use of the
Platform.

This document (in addition to the Privacy Policy) is unconditionally and irrevocably concluded:

(i) with reference to the services of the Platform not reserved for registered Users, when the User accesses the
Platform (implicit acceptance);
(ii) with reference to the Platform services reserved for registered Users, when the User accepts them during the
registration (explicit acceptance).     

In the event that the User does not want to accept, in whole or in part, these TOS, he is requested to exit the Platform or,
in any case, to stop using it, or even to stop recording. In case the User wants to use specific
services provided by the Company may apply, in addition to these TOS, further particular conditions of service
where specifically indicated. The Platform may provide for the provision of services provided by YIELD partners, in this case
the acceptance of the terms of service of the Yield partners by the Users will be necessary.

Article 1: Purpose of the Services

Yield is a platform that aims to involve Brands / Agencies and Influencers of all sizes in the
creation of social campaigns. YIELD offers Influencers the opportunity to monetize the audience of their social networks
collaborating with Brands and Agencies through the Yield Network Management platform.

In exchange for publishing content on one (or more) social networks managed by the Influencer, the latter gets a sum
of money or reward points according to the terms specified in Article 4. It is also possible to receive Products from
test for free.

Yield does not put Influencers in contact with Brands / Agencies. Through the Site and the Site Services, Influencers can
be advised by Yield about the possibility of collaboration with Yield itself, which maintains control of the Campaign
Influence commissioned by the Brand / Agency. The Influencer is responsible for evaluating and determining the appropriateness,
independently, of each Campaign proposed by Yield. When an Influencer accepts a Campaign proposed by Yield, the
collaboration is directly and only between Yield and the Influencer.     

Article 2: Access to the service

Registration for the service is carried out during the creation of the User Account on the platform. During the registration phase,
Influencers are asked to provide a series of personal data, including any interests, in order to facilitate the selection of the
Influence Campaigns Yield Team. You are also asked to indicate your social network profiles by providing links and / or
ID.

The acceptance of the conditions of use of the service is submitted to the User for validation at the time of creation
account. The Profile created by the Influencer is therefore verified by Yield which reserves the right to deny access
to the User or to limit it.
The presence of the influencer on the platform is dynamic: the Influencer actively participates in the success of their career in
platform. Each influencer can in fact always mature new levels of "career" defined by a score assigned on the basis
of its activity and involvement with the platform and through the methodologies indicated in the "FAQ" section of the
own Yield profile.
In the event that the Influencer participates in a Campaign that involves the testing of Products and / or services provided directly to the Influencer
itself, the Parties agree that this effectively represents a remuneration in kind. In addition, for certain
Influence carried out by the Influencer, YIELD could, at its sole discretion, provide for the recognition of Points of the
Yield Success System program.     

For each collaboration with Influencers, therefore, Yield proposes the remuneration plan indicating its consistency (only
Products, Points only, Points and Products, Points and money or Points, Money and Products).

Each Influencer can also join the "Yield Success System" program to accumulate Points by carrying out certain actions such as
invite his acquaintances to register on the Platform (using a specific code), or by agreeing to participate in one
Influencer campaign proposed by Yield. The assignment of points is illustrated in the Brief that Yield documentation
will provide for the Influencers who will be selected for the specific Influence Campaigns. Yield reserves the right to suspend the

service, and therefore the profile, even for incorrect use of the points system. Should Yield detect an abuse of the use of the
points system regulated by the Yield Success System by the User or an incorrect use of the platform, may suspend or
permanently and unilaterally delete the User's profile without prior notice.     

The service is offered 24 hours a day, 7 days a week, except for the random outage periods required for maintenance of the
service.

Article 3: Description of the service

Article 3.1: Content of the campaign

Influencers receive, from Yield, collaboration proposals to participate in Campaigns based on their profile,
interests, geographical areas and specific requirements provided by the Brand / Agency. Campaigns include information such as: a
description, key information to share with the public (URL, keywords, images, etc.) defined by the Brand / Agency,
proposed remuneration and social network to use. Campaigns may also include the use of Products and / or services
provided directly by the Brand / Agency. There is no direct interaction between Brand / Agency and Influencer. Yield, both in the stage of
planning and execution, will maintain contact with both the Brand / Agency and the Influencer. In the event such management of
communications is in any way bypassed without Yield's authorization, Yield itself reserves the right to suspend the account
of the Influencer.

Article 3.2: Promotional content of Influencer posts

Influencers can accept and consequently participate only in the campaigns for which they have been selected and contacted
by YIELD. Once the Parties have defined the agreement for the specific Campaign, the Influencer will be responsible for publishing the
contents of the Campaign on their Social Networks following the instructions that will be provided by Yield. The proposed contents
from the Influencer must be "public", that is visible to anyone, even to non-followers of the Social Networks used for
convey the Campaign.     

A promotional post published on Social Networks must be clearly identified as an advertisement according to the law
applicable to Influencers in their country of residence. The post, if provided, must indicate the natural or legal person for whom it is
the Campaign was realized.

When subscribing, influencers undertake to abide by the rules of good conduct provided by Yield, which prohibits any
fraud system that could allow them to fraudulently earn points or money. If YIELD gets to know
of suspicious activity, Influencers run the risk of having part or all of their remuneration canceled and of being

removed from the Platform.     

A promotional post cannot be a deceptive or disguised advertisement, and the content of the post cannot harm the
Brand / Agency or Yield and must adhere to the campaign for which the Influencers were hired. A promotional post
must not encourage actions that have no connection with the Campaign for which the Influencer is working.

Regarding the videos, the Brand (or the advertised Product) must be highlighted at the beginning of the video and for a duration
adequate to explain the characteristics of the product and / or service covered by the Campaign. In any case it will be necessary
that the Influencer follows the instructions received from the YIELD Team.
Article 3.3: End of the Campaign     

A Campaign comes to an end for Influencers when: the objectives set out in the Brief that YIELD provides are achieved
to the Influencer and / or the expiration date is reached, in the case of a Campaign created with an expiration date from
Brand / Agency, and / or when the maximum budget assigned to a Campaign is reached.

Article 3.4: Exclusivity

It is an explicit obligation for the Influencer to refrain from taking on direct collaboration assignments with Brand / Client Agencies
of Yield and subscribers to the Platform. The Influencer recognizes and accepts this condition of exclusivity and is aware that the not
compliance with this clause may result in the suspension by Yield of its User account and the consequent loss
of accumulated credits.

Article 3.5 Non-competition agreement

It is strictly forbidden for the Influencer to perform a service in competition with that of Yield through web platforms or
any other means, by contacting and using Influencers registered in Yield and / or who collaborate on Influence Campaigns
proposed and managed by Yield. Any fraudulent use of the platform aimed at stealing contacts from the community of
Yield will be considered as a violation of these Terms and Conditions of the Service. In such circumstances, Yield reserves the right to
suspend and / or delete the User profile (Influencer or Company) from the Platform as well as evaluate further actions
legal in civil and / or criminal matters if the conditions and prerequisites are met.     

Article 3.6 Authenticity and Integrity

Authenticity is one of the pillars of the Yield community which wants to foster collaboration opportunities between Influencers and
Brands / Agencies guaranteeing their mutual rights. Therefore, Yield prevents the use of the identity of others and misleading representation
identity by carrying out periodic checks on User accounts. For this reason, all Users are asked to
sign up for Yield using your real data.

Yield therefore reserves the right to take action against “Fake” Profiles by suspending and / or eliminating them. The same action will be taken
to User accounts that will publish images that are protected by copyright or to which they do not hold the rights. The violation of
this clause may involve, for the Influencer, the cancellation of the accrued remuneration, the suspension, the elimination of the profile and the
consequent loss of Points and accumulated credits.

Article 4: Payments and Remuneration

Article 4.1: Influencer payment terms     

Depending on the campaign, the remuneration can be based: on the post itself and / or on clicks on the dedicated link shared on
designated social networks and / or on social media engagement (eg. Likes, comments, shares) and / or on the number of followers
on the designated social network and / or the average number of views on the designated social network. Such aspects come
represented in a complete manner within the individual Briefs that accompany the request for engagement of the Influencers.

In the event of technical problems, accidents or publication errors, the Parties will do their best to promptly resolve
the problem. In the event of an obvious error, YIELD will have the right to resolve the issue even if it negatively impacts the
remuneration of the Influencer within 30 days of the occurrence of the error.

The final remuneration of the Influence Campaign will be calculated based on the percentage of the brief that has been respected
in / with promotional content. Depending on the campaign, the remuneration can be in cash, products, points or one
combination of the above.

With regard to the remuneration in money, the currency used is the Euro. The Influencer, having reached the balance of € 30.00, can
request payment taking care to send Invoice or receipt with withholding tax to the email address support@yield.social.
The tax document that will be produced by the Influencer must comply with the legal requirements in force. Payments will come
made within 30 days by bank transfer or check.
If applicable, Influencers will have to pay VAT and any tax obligations to the relevant administration.
YIELD, for influencers who do not log in to the service for more than a year, reserves the right to cancel the account. Of
consequently, any outstanding credits in favor of the Influencer will also be lost.     

Influencers agree to keep any promotional posts generated on behalf of YIELD and participating Brands / Agencies for
a minimum of 30 days. Should the promotional message be removed before 30 days, YIELD has the right to request
the cancellation of the remuneration.

Article 4.2: Duration and Validity of the Points collected

The score accumulated / recognized through the YIELD "Yield Success System" Program lasts for the entire period in
which the collaboration between YIELD and the Influencer remains active, i.e. for as long as the Influencer remains registered as
User on the Platform. Points accumulated by Influencers must be redeemed within 12 months of being credited. Beyond this term i
Points accumulated and not converted / redeemed for cash or other goods beyond the established term will be revoked.

Article 5: Obligations, responsibilities and guarantees of the Users

Article 5.1.1: Obligations of Users - Influencers

Influencers declare that they have received all the information necessary to consciously register on the platform. There
Platform is available to influencers as is, without any customization. Therefore, influencers must
check, in advance, any technical requirements and whether the services offered by the Platform meet their needs e
expectations.

Article 5.1.2: Obligations of influencers regarding the content of promotional posts

Influencers are committed to:
- Follow the instructions received from the Yield Team for the creation of promotional posts;
- Make your posts public (visible to anyone);
- Do not post online, share or communicate content that is in any way: obscene, defamatory, abusive, threatening,
child pornography, approve a war crime or a crime against humanity, provoke terrorist acts, violate
the privacy of a person and / or unlawful in any way, or of a deceptive nature or relating to a hidden promotional advertisement;
- Not to damage the Brand / Agency and the image, brands, services and products offered through collaborations with YIELD;
- Do not use the images of the Brand / Agency or of Yield and their distinctive features (name, slogan, logo, image) in
circumstances other than those defined by the Brand / Agency / Yield or outside the Campaign entrusted to the Influencer.

Influencers admit that they only have a temporary and limited right to use the brand during the Campaign and not one
license to use the brand. The right of use ends once the Campaign has ended.     

Influencers are committed not to:
- Encourage users of social networks to take any action not related to the Campaign in their promotional post;
- Increase clicks through any financial incentive or on the basis of a false statement or request inviting them
users of the social network to click on a promotional post or any other action;
- Spam your social networks with repeated and identical promotional posts;
- Launch automated scripts or programs, including robotic software or any program prone to send multiple requests to the
second to a server or to complicate or hinder the operation and performance of the service or application in such a way
untimely;
- Modify or create derivatives of the service;
- Create electronic links to the service or insert base or mirror schemes of some applications on other servers or

Internet-based wireless devices;
- Posting online or sharing content or behaving in a way that would disrupt, hinder, destroy or more
commonly disturb the operation of the Service offered by Yield or allow unauthorized access to the
Platform, even using computer viruses, malicious codes, or infected files;
- Proceed to the reverse engineering method to design or build a competing product or service using
same features, functions or images;
- Have fraudulent behavior trying to circumvent the normal functioning and rules of the Service proposed by Yield;
- Steal someone's identity by any means, including using their social networks;
- Replicate, copy, sell or make any commercial use (including the right to information) of the whole or part of the
Service proposed by Yield.     

Influencers are committed to:
- Respect the privacy of individuals and the private nature of the information provided;
- Always provide accurate, real, correct data, taking care to update them as soon as necessary;
- Comply with all legal directives in force;

Article 5.2: Responsibility of influencers

Article 5.2.1: Responsibility of influencers towards Social Media

Influencers are responsible for using their Social Network accounts and publishing promotional posts
subject of the Influenza Campaigns.

Any message of an offensive nature, conveying a misogynistic, sexist, sexual, homophobic, racist, xenophobic message
or that glorifies rape will not be eligible for the agreed remuneration. The Influencer's participation in the Campaign will come
then canceled if the post is not edited or deleted quickly.     

Article 5.2.2: Influencer's responsibility regarding the publication of promotional posts

Any use of the Service or online uploading of a promotional post through social networks will be considered
carried out by the Influencer even in case of loss of the password or password given to another person by the influencer.

Should the Influencer have unforeseen events / impediments of force majeure and be unable to respect the times
agreed for the Influence Campaign entrusted to him, he will have to contact the Yield Team to verify how to proceed. Self
the non-compliance regardless of force majeure, Yield reserves the right to charge any penalties that the
Brand / Agency will plead on Yield for lack of sponsorship. The amount of the penalty cannot exceed the total value
of the remuneration agreed with the Influencer for the canceled Campaign.

Article 5.2.3: Liability of influencers in case of misleading and aggressive advertising

Influencers clearly recognize that posting deceptive and / or aggressive promotional messages exposes them,
personally, to sanctions by the competent authorities. The Consumer Code distinguishes commercial practices
deceptive and aggressive.

Misleading commercial practices (articles 21-23 of the Consumer Code) can mislead the average consumer,
falsifying the decision-making process. The misleading can concern the price, the availability on the market of the product, its own
characteristics, the risks associated with its use. Practices that induce the consumer to are also considered illegal
neglect the normal rules of prudence or vigilance regarding the use of products that are dangerous to health and safety or that
may, even indirectly, threaten the safety of children or adolescents.     

If, on the other hand, the promotional message contains harassment, coercion or other forms of undue influence, it comes
considered aggressive (articles 24-26 of the Consumer Code).

Article 5.3: Guarantees from influencers

Influencers guarantee that the content of promotional posts is, and will remain, consistent with these legal notices and

general conditions of use, terms and conditions of Yield, social networks and applicable laws and regulations. Yield is opposed
any remedy or action (including legal fees) by any third party as a result of Influencer's use of the service or
Brands / companies in violation of these Legal Notes and the General Conditions of Use and any contractual document,
or more broadly a violation of the law;

Article 6.1: Obligations of the company
Article 6.1.1. : Company Obligations on Public Monetization     

The purpose of the Service proposed by Yield is to allow Influencers and Brands / Agencies to actively collaborate, in
efficiently and obtain mutual satisfaction from the results of the Influence Campaigns.

Yield undertakes to grant Influencers the credits (in cash and / or products and / or points) in accordance with the terms of which
Article 4.

Yield is in no way obliged to select all the Influencers present on the platform. The involvement of the same,
in fact, it depends on the type of collaboration that the Brands / Agencies require and on the objectives of the Campaigns elements on which Yield
it cannot interfere.

The Influencer understands and acknowledges the fact that mere subscription to the Platform does not automatically mean acquiring rights

of selection and / or collaboration for the Campaigns that the Brands / Agencies entrust to Yield.     

Article 6.1.2: Obligations of the Company regarding the quality of the service provided

Yield is committed to offering everything necessary to provide a quality service, in accordance with the Company's best practices.
Yield will do its best to offer 24/7 access, except in any case of force majeure, system failure,
disservices of the hosting service provider or any maintenance operation essential to the running Service.

Users understand and admit that software is part of a complex area in terms of technical processing and therefore
agree with any risks of imperfection or unavailability of the service.

In case of absolute necessity, Yield reserves the right to suspend the Service to proceed with a technical intervention of
maintenance or improvement and / or to ensure the proper functioning of the Service at any time and for the duration
necessary. Any interruption of the service and therefore of the Platform itself will not entitle Users to any compensation
registered (Influencers or Brands / companies that are).

The Company may send e-mails or notifications via the platform to users, in particular to inform them about the evolution of the
service, new campaigns and campaign statuses for influencers.

Article 6.1.3: Obligations of the Company regarding changes to the service

Yield reserves the right to revise the entire proposed Service (or any part thereof) at any time and without

forewarning. Any changes that result in the reduction of your rights, as part of these General Conditions
of use, will not be applied without their prior consent.     

Article 6.1.4: Obligations of the Company regarding abusive or diverted services

Yield reserves the right to establish technical limitations to limit abuse of the services offered.
Yield, in the event of suspected abuse, it will communicate to the User who undertakes to collaborate, including with the judicial authorities,
providing the information requested about the User himself and / or his promotional Posts or campaign Briefs in order to
check and even delete information that is contrary to current legislation.

Article 6.2: Responsibility of the company

Article 6.2.1: Company's responsibility towards social networks

The conditions for accessing, supplying and using the information and services offered by Yield are available directly

on the web pages of the Platform and also in the form of "FAQs". Yield cannot be held responsible for the contents of the
Promotional posts published by Influencers who do not respect the indications that Yield provides. Yield, in this regard, has no
direct control over the contents published by Influencers through their own Social Network channels nor has access to such profiles
social.
Article 6.2.2: Liability of Yield towards Users     

Yield will not be held liable in the event that a third party uses a User's username and password for
connect to the Platform or for any modification, suspension or interruption of the Service not due to Yield itself.

The user is aware and accepts that the Platform may be temporarily suspended, for development work or
ordinary and extra-ordinary maintenance.     

Force majeure: Yield cannot be held responsible for any partial or total failure to comply with its obligations in the event
force majeure, in particular any failure or blockage of telecommunications networks, uprisings, civil wars, wars,
military operations, states of emergency, fires, lightning, floods, explosions, strikes, storms etc. etc ..
The technical problems of the hosting service providers used by Yield are also considered cause of force majeure as yes
it is an unforeseeable or unavoidable event and beyond the control of Yield itself.

In any case, should the non-fundamental contractual obligations not be met, the remuneration due by Yield
may not exceed the payments due to Influencers or any amount they may require in connection with
terms of use.

Article 6.3: Company guarantees     

Yield makes no express or implied warranties as to the use of the Service, in particular its availability. The User is
informed that Yield does not guarantee that its Service will be free from any faults or irregularities, nor that such technical problems
will be resolved. The Company further does not warrant that the use of its Services will be uninterrupted or faulty or compatible with
any mobile or fixed device or a particular configuration other than the standard ones normally recommended by
Yield.

Article 7: Suspension and termination of the service

Article 7.1: Initiative for influencers

Influencers can delete their account at any time by contacting the Yield Team via email by writing to
info@yield.social. Before making the cancellation request, the influencer must make sure that any order of
payment has been completed successfully. The cancellation of the account is final and without delay and the removal of data
personal data occurs within a maximum of 60 days from the cancellation of the Service. Also payment rights and any
credits that Influencers have accumulated will be eliminated.

Article 7.2: Suspension of Influence Campaigns by the Brand / Agency

In case of suspension or early termination of the contract by the Brand / Agency, with consequent early termination

of the Influence Campaign, Yield reserves the right to re-evaluate the remuneration agreed between Yield and the Influencer.     

Article 7.3: Initiatives to protect the company

The Company reserves the right to suspend access to the Service or to close the User account and / or to prohibit access to the Service
if the following terms of the contract are not respected. Especially those related to the obligations of the Influencers and any
suspected or confirmed attempt at fraud. Consequently, Influencers will not have the right to ask for any compensation for the
credits accrued (points and / or products and / or money).

Yield reserves the right to interrupt the Service and therefore the availability of the Platform itself, at any time. The
users will be notified via email (address used for registration on the Platform) and will be able to continue using the
Platform with at least one month's notice before the Service is permanently discontinued. In this period,
before the date of termination of the Service, Users must request any credits accrued and manage personal data
present on the Platform.

The definitive or partial interruption of the service by Yield will not open the rights to compensation of any kind for Influencers.     

Article 8: Intellectual and industrial property rights

Article 8.1: Protection of trademarks and use of the "YIELD" brand     

No User has the right to use the "YIELD" brand for purposes other than those expressly indicated in this agreement,
any behavior that damages the image, profit or the Company itself, will result in immediate suspension

of the User account and, depending on the case, the reporting to the competent authorities. Generally any
conduct that does not comply with these general conditions or any unlawful conduct will be subject to
reporting to the competent authorities. The “YIELD” brand and the “yield.social” domain name are also owned
exclusive of DMGROUP SRL.     

Users must NOT:
a) reverse engineer, decompile, disassemble, modify or create derivative works based on "YIELD" or on
any portion of it;
b) bypass the computer systems used by Yield or its licensors to protect the content accessible through it;
c) use any robot, spider, site search / retrieval application, or any other device, process or means
automatic to access, retrieve, scrap or index any portion of the Platform or its
contents;
d) rent, license or sub-license your User account;

e) defame, offend, harass, engage in threatening practices, threaten or otherwise violate rights (such as the right
privacy and advertising) of others;
f) disseminate or publish illegal, obscene, illegitimate, defamatory or inappropriate content;
g) use Yield in any other improper way that violates these TOS;     

Article 8.2: Content Protection and Copyright

All data contained within the Platform such as, without limitations, software, corporate identities, texts, audio documents,
videos, photographs, logos, icons and, any design that appears or is available, is protected by copyright laws (Articles 2575-
2583, cc and L. n. 633 of 22.04.1941).

Influencers acknowledge and forbid, without limitation, to use, reproduce, publish, represent, disseminate,
adapt, translate, use to create by-products or take the content of the Platform for a use other than that
defined in the current TOS unless explicitly and in writing by YIELD.

All trademarks, logos, texts, videos, digital products and any creative processing belong to their respective owners and to
respective companies. Each User is responsible for the content they publish. Brands also actually contained on Yield or otherwise
referred to therein, are protected by the law on registered trademarks, unfair competition and other applicable laws or by
any commercial agreements and, therefore, cannot be copied or imitated. Therefore, it is expressly forbidden to use it not
authorized of the same. All rights not expressly granted are reserved.

Users undertake not to access the Service by means other than the interface provided by the Company, unless authorized
explicit and written by Yield.     

Article 9: Personal data, Confidentiality and Confidentiality

The personal information provided by Users (both Brands / Agencies and Influencers) at the time of registration or during the
signing of collaboration agreements, will be treated as described in the Privacy Policy [Insert hyperlink].

The Parties undertake to keep the Contract, information, data, technical and other documentation confidential
commercial, organizational, production, managerial or whatever else is inherent to both parties and to use them only
and exclusively for the correct fulfillment of the services referred to in this Agreement, to supervise the activity of the respective

personal, so that it maintains the same commitment of confidentiality.     

The Parties therefore undertake to maintain and ensure that their employees and collaborators maintain absolute confidentiality
on the data and information that they might become aware of in the execution of the Contract.

Article 10: Applicable rights - Disputes     

Failure by the Owner to exercise legal rights or claims deriving from these Terms does not constitute a waiver of the

themselves. No waiver can be considered final in relation to a specific right or any other right.     

These Terms of Service and all disputes regarding the execution, interpretation and validity of this Agreement
are subject to the law, the jurisdiction of the State and the exclusive jurisdiction of the court of the place where the
Holder. Any dispute arising from this agreement will be solely and indisputably of the Court of Lecce.

Article 11: Various provisions

The Company may revise these legal notices and the general conditions of use at any time.
If so, Yield will notify Users by posting the most recent version of these Terms of Service and will collect
adherence to their access on the Platform. Users will have the option to accept or terminate their contract. If one or more
terms of the legal notes and general conditions of use are declared invalid, the other terms will keep theirs

effectiveness and scope.
